Programme Participation Agreement and Liability Waiver

Empowered Women’s Collective Ltd offers pelvic health, pregnancy and postpartum online exercise/fitness, wellness and coaching programmes. As a condition of participation in our programme, you agree to the following.  If you do not agree, do not participate in any of our programmes.

  • You attest that you are at least 18 years old to participate in our programme(s).  We do not intend for our programme(s) to be used by individuals younger than 18.

  • Our wellness, educational and fitness exercise programmes, even if targeted at a specific medical or physical problem, are intended to provide general education, not specific medical or physical therapy advice for you or any other particular individual.  If we suggest self-assessment procedures, it is not intended to substitute for a medical or physical therapy exam.

  • If the programme you participate in provides suggestions on general exercise, you understand that there are risks in participating in any exercise programme.  You may be at risk for injuries, including but not limited to tendinitis and muscle strains, back or neck injuries, paralysis, cardiovascular events or even death. If an exercise requires balance, you could be at risk for falling, which could result in fracturing bones.  You may also experience muscle soreness from working muscles that are weak or deconditioned.  When using exercise equipment, such as weights, resistance bands or therapeutic balls, there are always risks that the equipment may malfunction or fail, potentially causing injury, especially if it is not properly used.

  • We recommend you obtain medical clearance from your primary care or another qualified medical provider before participating in our  programmes.  Your participation in our programme is solely at your own risk whether you obtain medical clearance or not.  You knowingly and freely assume all such risks, both known and unknown, and assume full responsibility for your participation. 

  • We do not claim that our general exercise/fitness, wellness and general coaching programme(s) will result in any particular or specific therapeutic, performance or other outcome. 

  • You acknowledge and accept the potential technology risks of participating in an online programme, including but not limited to the risk of (1) interruption of the audio/video link, (2) disconnection of the audio/video link, (3) video that may not be clear, and (4) potential of unauthorized access to the live or recorded session.  We are not responsible for these or other technology problems. 

  • You agree, on behalf of yourself and your heirs, assigns, personal representatives and next of kin, to assume these and all injury risks and waive all liability against Vivienne Bolla doing business as Empowered Women’s Collective Ltd, attorneys’ fees, for any personal injury or personal property damage claims, disability, death, or loss or damage to person or property, whether arising from the negligence of the Releasees or otherwise, to the fullest extent permitted by law.

Empowered Women’s Collective Ltd is committed to protecting and respecting your privacy and using any information you provide to us responsibly.

1. Introduction

1.1 Welcome to Empowered Women’s Collective. These terms and conditions (Terms) shall govern your use of Empowered Women’s Collective Ltd (Empowered Women’s Collective or the Company) services and Website. The services, include but are not limited to, personal training, in person and online courses, programmes, workshops retreats and development of community, centred around pregnancy and postpartum fitness. Amongst other things, the Website allows clients to book personal training, courses, programmes, workshops, and buy monthly membership access to Empowered Women’s Collective’s on-demand video collections and challenges.

1.2 These Terms govern your use of the Website, including any content, functionality, and services offered on, through or related to the Website. The Website and these services are provided and operated by Empowered Women’s Collective. By using our Website, you accept these terms and conditions in full; accordingly, if you disagree with these terms and conditions or any part of these terms and conditions, you must not use our Website.

1.3 If you register with our Website, purchase from our booking Website or use any of our company services, we will ask you to expressly agree to these Terms.

1.4 Any information given on the Website is not legally binding on Empowered Women’s Collective, is informative only and does not form part of these Terms.

1.5 By accepting these Terms, you represent that you are eighteen years of age or older and that, if you have accepted these Terms on behalf of any person or entity, you represent that you have legal authority to do so and that such person or entity agrees to be responsible to us if you or such person or entity violates these Terms.

1.6 Empowered Women’s Collective reserves the right to make changes to these Terms at any time and at Empowered Women’s Collective’s sole discretion. All changes are effective immediately from the time Empowered Women’s Collective publishes them, and apply to all access to and use of the Website thereafter. You may determine when these Terms were last updated by referring to the bottom of these Terms.  By continuing to use the Website, you agree to the Terms as modified or as they currently appear. 1.7 Empowered Women’s Collective reserves the right at any time and without notice to:

1.7.1 modify, suspend, terminate or restrict access to the Website or any portion thereof;

1.7.2 restrict, limit, suspend or terminate your access to the Website or any portion thereof;

Intellectual Property Rights: copyright and related rights, trade marks and service marks, business names and domain names, rights in get-up and trade-dress, goodwill and the right to sue for passing off or unfair competition, rights in designs, rights in computer software, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets), and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world.

On-demand Collections: the on-demand classes created by Empowered Women’s Collective and available through the Website.

Member: a User who has an active subscription to Empowered Women’s Collective.

Membership: the membership of a Member.

Users: any visitor to and user of the Website.

2. Registration and accounts

2.1 In order to communicate with Empowered Women’s Collective, engage in a transaction, or using any other service on the Website, you may need or desire to submit personal information. When providing any personal information, you agree to (a) provide accurate, current and complete account information, (b) maintain and, if necessary, promptly update such account information, (c) maintain the security of your account information, (d) be responsible for the acts or omissions of any third party that has authority to access or use your account information, and (e) immediately notify Empowered Women’s Collective if you discover or otherwise suspect any security breaches related to the Website or your membership account. Such notifications or any changes to your registration information may be made by email to the contact address provided in these Terms. If you provide any information that is untrue, inaccurate, not current or complete, we may suspend or terminate your account or refuse any or all current or future use by you of the Website and the services provided thereunder.

2.2 By signing up to our mailing list, programmes, and/or becoming a Member and using the Website you consent to receiving communications from Empowered Women’s Collective electronically, including emails and messages posted to your membership account, where appropriate, all as more fully detailed in the Privacy Policy.  You acknowledge and agree that all communications that Empowered Women’s Collective sends to you electronically satisfy any legal requirement that such communications be in writing. If you wish at any time to withdraw your consent to receiving communications from Empowered Women’s Collective, please email the contact address provided in these Terms, notifying Empowered Women’s Collective of the withdrawal of your consent.

2.3 You may also purchase services (e.g. personal training) as a guest by contacting Empowered Women’s Collective directly.

2.4 You agree that all personal information you provide as a User, a Member or otherwise, is governed by the Privacy Policy, and you proceed on the basis that you are aware of how and why Empowered Women’s Collective process your personal data, as is set out in the Privacy Policy.

 

3. Payment, billing information and pricing

3.1 If you wish to make an online purchase, and/or become a Member you will need to provide details of a payment card (or other accepted payment method) to the relevant third payment party payment provider approved by Empowered Women’s Collective. Your payment card (or other accepted payment method) information is not stored by Empowered Women’s Collective.

3.2 By providing details of a payment card (or other accepted payment method), you represent and warrant that you are authorised to use such payment method and that you authorise Empowered Women’s Collective or the relevant payment provider to charge your payment method for the total amount of your Membership, class pack, course, programme, personal training or other purchase, at any relevant interval and including all applicable taxes and other charges.  If the payment method cannot be verified, is invalid or is otherwise not acceptable, any related order or purchase made by you may be suspended or cancelled until such problem is resolved with Empowered Women’s Collective or the relevant payment provider.

3.3 You acknowledge that taxes and other charges may be additional to the prices shown on the Website, and therefore that the amount billed may vary due to such applicable taxes or other charges.  You authorise Empowered Women’s Collective or the relevant payment provider to charge your payment method for any such taxes and other charges.  Empowered Women’s Collective reserves the right to adjust prices as it determines necessary in its sole discretion, at any time and without notice, provided, however, that if any price changes or charges are in respect of any recurring transaction, notice of such changes will be made to you prior to your next recurring payment falling due.

3.4 You further acknowledge that any third party payment provider may impose additional terms and restrictions on any transaction.

3.5 You are not entitled to a refund on any purchase (including group packages or subscriptions).

3.6 Empowered Women’s Collective may offer a refund at their discretion. This may not be the full amount initially paid.

 

4. Membership

4.1 You can purchase monthly Membership.

4.2 Payments are taken through Paypal and Wix Payments on our booking system as and when purchased.

4.3 You are not entitled to a refund for Membership payments under any circumstances, even if you have not used the services of the Company for an extended period.

4.4 Should you wish to amend or cancel your Membership, then you may do so in your account section on the Website. Any Membership cancellation will be effective at the end of your current Membership payment cycle (in respect of Membership during a paid subscription period), and you will no longer have access to your account or the benefits of Membership after such a relevant point in time and no further Membership charges will be made to your relevant payment method.

4.5 Empowered Women’s Collective may:

(a) suspend your Membership;

(b) cancel your Membership; and/or

(c) edit your Membership details, at any time in our sole discretion with or without notice to you.

4.6  Empowered Women’s Collective is entitled to increase class and Membership costs at our discretion but is obliged to give 1 month’s notice of rate changes.

 

5. Intellectual property rights

5.1 Empowered Women’s Collective, or its licensees, successors or assigns, own:

(a) the Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof); and

(b) any other Intellectual Property Rights in or arising out of or in connection with the Website and the services provided thereunder, and such ownership is protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

5.2 You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content, except as follows:

(a) you may store files that are automatically cached by your web browser for display enhancement purposes; and

(b) you may print or download one copy of a reasonable number of pages of the Website for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

(c) If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Website in breach of these Terms, your right to use the Website will end immediately and you must, immediately upon Empowered Women’s Collective’s request, return or destroy any copies of the materials you have made.

Subject to all the terms, conditions, limitations and restrictions contained in these Terms, Empowered Women’s Collective grants to you a conditional, revocable, non-transferable, non-sublicensable, non-assignable non-exclusive and limited licence to access and make personal, non-commercial use of the Website and any services and Content provided thereunder or therein, subject to any requirements for Membership or online programmes to access such services and Content.  Such licence may be revoked and terminated by Empowered Women’s Collective at any time and for any reason, including, without limitation, if you violate these Terms or any applicable law.

 

7. Site linking and social media features

7.1 You may link to the Website, provided you do so in a way that is fair and legal and does not damage Empowered Women’s Collective’s reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval, or endorsement on Empowered Women’s Collective’s part, unless otherwise agreed by Empowered Women’s Collective in writing.  You agree to cooperate with Empowered Women’s Collective in causing any unauthorised framing or linking immediately to stop. Empowered Women’s Collective reserves the right to withdraw linking permission without notice.

This includes links contained in advertisements, including, without limitation, banner advertisements and sponsored links. 9.3 To the extent that our website and the information and services on our website are provided free of charge, we will not be liable for any loss or damage of any nature.

9.4 We will not be liable to you in respect of any losses arising out of any event or events beyond our reasonable control.

9.6 We will not be liable to you in respect of any loss or corruption of any data, database or software.

9.8 You accept that we have an interest in limiting the personal liability of our officers and employees and, having regard to that interest, you acknowledge that we are a limited liability entity; you agree that you will not bring any claim personally against our officers or employees in respect of any losses you suffer in connection with the website or these terms and conditions (this will not, of course, limit or exclude the liability of the limited liability entity itself for the acts and omissions of our officers and employees).

 

10. Breaches of these terms and conditions
